Effective Upon Account Verification and Subscription

These Terms and Conditions apply specifically to brands and agencies that subscribe to and verify their account on the ShoutOut platform. By becoming a verified Brand Partner, you agree to the following terms:

1. Account Verification & Subscription

• You must complete the full registration and verification process before initiating any campaign activity.
• Your subscription grants access to creator insights, campaign creation tools, and strategic resources.
• All information provided must be accurate and up to date at all times.

2. Creator Insights & Matching

• You will receive access to selected creator analytics and performance metrics for campaign planning.
• These insights are shared under confidentiality and must not be distributed or reused outside ShoutOut without explicit permission.
• You may contact matched creators directly through the platform for brief discussion or clarification.

3. Strategic and Creative Proposal Access

• Brands may request campaign strategy input or creative proposals from ShoutOut’s internal team..
• These materials, including campaign decks, moodboards, and ideas, are time-bound IP protected assets.
• Brands agree not to reuse or replicate any creative strategy or idea outside the platform within the review window (typically 48–72 hours) unless entering a signed execution contract with ShoutOut.

4. Campaign Execution

• Once a campaign is approved, the brand is responsible for funding and reviewing deliverables on time.
• ShoutOut supports campaign execution and communication between both parties but does not assume legal responsibility for delays caused by the brand.
• Late campaign approvals or funding may impact creator participation and visibility.

5. Confidentiality & Data Use

• All creative concepts, creator lists, pricing models, and influencer insights are proprietary to ShoutOut and its partners.
• Reusing any of this data or leaking confidential terms may result in legal or financial penalties as per open agreement protocols.

6. Ownership & Licensing

• Final content created under the campaign is licensed for brand usage according to the agreed duration and format.
• Extended usage or repurposing requires additional licensing fees and written agreement.

7. Dispute Resolution

• Any disagreement between a brand and a creator will be reviewed by the ShoutOut operations team.
• ShoutOut reserves the right to make final decisions in the interest of maintaining fair platform conduct.

8. Termination of Access

• Brands failing to comply with these terms, including unauthorized usage of ideas or data, may have their access revoked.
• Subscription cancellations are subject to prior notice and do not waive compliance obligations on previously accessed data.

9. Updates & Notices

• These terms may be updated periodically. Brands will be notified of critical changes via registered contact information.
